Terms of Service

Last updated: 2026-10-20.1 · Version 2026-10-20.1

This is a translation. If it differs from the Bulgarian text, the Bulgarian text prevails.

These Terms govern the use of Pintle TMS — a web service for managing a transport business, available at pintletms.eu (the “Service”). The provider of the Service is Pintle (“we”, the “Provider”). Our details are on the Legal notice page.

The Service is intended for business customers — carriers and related companies. It is not intended for consumers.

1. Acceptance and contract

The contract between you (the “Customer”) and us is concluded when you create an account and accept these Terms and, for a paid plan, when you confirm payment. By accepting you state that you are at least 18 years old and entitled to bind the company on whose behalf you act.

The contract also includes: the Privacy Policy (for the data we control), the Data Processing Agreement (DPA) — for the data you enter into the Service — and the list of sub-processors. If there is a conflict, the DPA prevails on data-protection matters.

2. Account and security

You are responsible for the accuracy of the registration data and for all activity under your account. Keep your password safe and do not share it. Tell us immediately if you suspect unauthorised access.

The company owner in the Service decides who has access and in what role (owner, administrator, dispatcher, accountant, driver and so on). You are responsible for the people you invite and for removing access from people who no longer work for you.

One paying account may include several companies within the plan's limit. Circumventing a plan's limits by creating multiple accounts is not allowed.

3. Plans, prices and payment

The Service is offered free of charge (a limited free plan) and by subscription on paid plans. The content and limits of each plan are described on the pricing page at the time of purchase.

Prices are in euro (EUR) per month and exclude VAT. VAT is added as required by applicable law and shown on the invoice.

Paid plans are billed in advance for each monthly period and renew automatically until cancelled. Payments are processed by Stripe; we do not receive or store your payment card details.

Free trial: an account’s first paid subscription starts with free days (the number is shown on the pricing page and at checkout). During them your card is taken but not charged. If you cancel the subscription before the trial ends you pay nothing; if you do not, the card is charged automatically for the first monthly period on the day the trial ends. If you switch to a more expensive plan during the trial, the trial ends and the new plan is charged at once. A trial is given once per account and per card: if the same card has already been used for a trial by another account, the subscription does not start and you can subscribe without a trial.

When you switch to another paid plan, the change takes effect immediately and the price difference is charged pro rata for the rest of the period.

Discounted terms and payment by bank transfer: besides monthly payment by card, the subscription can be bought for 3, 6, 9 or 12 months ahead with the discount shown in the Service at the time of purchase. For such a term we issue an invoice that you pay by bank transfer to the account on it, quoting the invoice number as the payment reason. The plan starts once we receive the payment (usually within one working day), and the term runs from the day of payment or from the day after the end of the term already paid. If you have paid and the payment is not recorded, you can write to us from the Service.

Prices and VAT: prices exclude VAT. For companies established in Bulgaria VAT at the rate in force (currently 20%) is added to the price; for companies in another EU Member State with a valid VAT number the reverse charge applies where the law allows it. VAT and the total are shown on the invoice.

Renewal: for a subscription paid by invoice we issue an invoice for the next term 15 days before the end of the current one, unless you have switched renewal off in the Subscription section. We never extend the plan on our own initiative: it is extended only once you pay the invoice. We remind you (a notice in the Service and an e-mail) 7 days and 1 day before the end and on the day after the end if the next term is still unpaid.

Upgrade and downgrade: an upgrade to a higher plan takes effect after you pay an invoice for the price difference for the rest of the paid term. A downgrade to a lower plan takes effect at the end of the paid term; the paid term is not refunded.

Expiry and suspension of access: if the subscription expires and is not renewed, (a) for the first 5 days after the end you work without limits and the Service shows a notice; (b) for the next 10 days your data stays available for reading and export only, without changes; (c) after that the company’s access is suspended — only the Subscription section is available to the owner (to pay by card or invoice and to contact us). We may change these periods under the procedure for changes. We do not delete your data because of non-payment and keep it as set out in section 4; once you pay, access is restored at once. If you do not pay, we are not obliged to provide a paid plan. These periods are not individually negotiated, as the Service is standardised and offered against prepayment.

If a monthly card payment fails or is stopped, the account moves to the free plan and its limits apply. We do not delete your data because of a downgrade, but you may be unable to add new records until you are back within the limits.

We may change prices or plan limits by giving you at least 30 days’ notice. A change does not affect a period you have already paid for.

4. Cancellation and refunds

You can stop your subscription from renewing at any time from the Subscription section of the Service. Cancelling stops the renewal: the subscription ends at the end of the period already paid (or of the trial, if you are still in it) and until then you keep your plan. Cancelling does not refund a period already paid.

A paid period is not refunded unless the law requires otherwise or we have materially breached the contract. As the Service is intended for business customers, the consumer right of withdrawal does not apply.

We may terminate or suspend your access for a material breach of these Terms, non-payment or a risk to the security of the Service — giving you advance notice and a reasonable time to remedy where practicable.

After termination you may ask for an export of your data within 30 days. After that we delete or anonymise it; copies in our backups disappear within 14 days after that.

5. Your data

The data you enter or upload into the Service — orders, courses, documents, data about drivers and vehicles, invoices and so on (“Customer Data”) — remains yours. You give us a limited right to process it solely to provide the Service.

For personal data within Customer Data you are the controller and we are the processor, under the DPA. You are responsible for having a legal basis to enter it — including for data about drivers and employees, for tracking vehicles and for informing the people concerned.

We do not use Customer Data for advertising and we do not sell it.

6. Acceptable use

You must not:

  • use the Service for unlawful activity or to infringe the rights of third parties;
  • try to access other people’s accounts or data, overload the Service or break its security;
  • use automated data extraction (scraping), except through an interface we provide;
  • upload malicious code or content you have no right to share;
  • resell or give third parties access to the Service as a separate service without our written consent;
  • circumvent plan limits, including the document recognition limits.

If you breach these rules we may restrict or suspend access, taking the seriousness and the risk into account.

7. Document recognition, translation and other AI features

The features that recognise documents and orders from a photo or file, and the “Translate” button on chat messages and exchange listings, use an external artificial-intelligence provider. A recognition result is a draft and a translation is machine-made; either may contain errors. For translation, the text you choose to translate is sent to the provider, and the translation is kept on our servers so the same text is translated once. You must check it before relying on it. We do not guarantee accuracy.

A recognition result is not legal, tax or accounting advice and does not lead to automated decisions with legal effect on individuals.

8. Routes, maps and tracking

Routes, times, tolls, restrictions and map data are aids. The driver and the carrier remain responsible for obeying traffic rules, restrictions for heavy and dangerous goods (ADR), driving and rest times, and for checking current restrictions on the spot. We do not guarantee that a route is open, permitted or the shortest.

Map data is © OpenStreetMap contributors (ODbL licence) and is displayed through providers named in the list of sub-processors.

Position data comes from your tracking provider’s system (for example Frotcom), which you connect. You are responsible for the lawfulness of tracking drivers and employees, including informing them, and for respecting their privacy mode.

9. Invoicing and accounting features

The invoicing, VAT and margin features are an aid. You are responsible for the accuracy of the documents you issue and for complying with tax and accounting law. A VAT number check through VIES is informational and depends on the external service being available. We do not provide accounting or tax advice.

Payment reminder: data from the invoices you issue (status, due date, the buyer’s company ID/VAT number) may be used to work out the reminder described at /payment-reminder, unless you opt out of taking part on the “Company and team” page (then you do not get the reminder either). You undertake to keep the payment status in the Service up to date and are responsible for the accuracy of the data you enter. The reminder (for subscribers on a paid plan) is only a reminder — not a statement, assessment or accusation about any company, and it does not confirm the existence, enforceability or amount of a receivable. It is based on the data available at the time and may not reflect payments or disputes not yet entered; you decide whether to accept the order. Do not pass it on outside the Service.

9a. Load and truck exchange

The exchange is a feature for companies on a paid plan: they post loads for sale and free trucks and see the offers of other paying companies. We only provide the place for the offers and connect the companies; we are not a party to the deals between them, we do not guarantee the accuracy of the offers or the solvency, quality or good faith of any company, and we are not responsible for the carrying of loads, payments or disputes between companies. Check your partners yourself.

An offer shows details of the company (name, country, company ID/VAT number and the result of its check, how long the company has been in the Service) and the contact of the person who posted it (name, phone, e-mail). By posting, you agree that these details are seen by other paying companies. Trucks are shown only with their kind, sizes and payload, without the registration number or any driver details, and the location is at city level. Post only real loads and trucks and do not use contacts from the exchange for other purposes.

Notices from the exchange (for example that a truck or a load that may interest you has been posted) are information only, not an offer and not a guarantee of a deal.

Condition of access: a company that does not pay its invoices and harms other customers of ours may be restricted from posting new loads, and its offers hidden, to protect our other customers. The restriction is a measure of access to the Service, based on documents presented to us; it is not a statement that a receivable exists and does not replace a court decision. It is lifted when the reason ceases. A company may block another company — then they do not see each other’s offers.

10. Availability, support and backups

We make reasonable efforts to keep the Service available but do not guarantee uninterrupted operation and have no service level agreement (SLA) unless agreed in writing. We may carry out planned maintenance.

We make daily encrypted backups for disaster recovery and keep the last 14. They are not meant to serve as your archive — keep copies of the documents that matter to you.

11. Intellectual property

The Service, its code, design, brand and documentation belong to the Provider or its licensors. You receive a non-exclusive, non-transferable right to use the Service for your internal business for the term of the contract. We may use freely any feedback you give us.

12. Third-party services

The Service relies on third parties (payment, mail, maps, artificial intelligence, hosting), whose own terms also apply. We are not responsible for an interruption or change in a third-party service outside our control, but we will make reasonable efforts to limit the effects.

13. Liability

To the extent the law allows, the Service is provided “as is”. We are not liable for indirect damage, lost profit, lost deals or reputation, or for damage from decisions made on the basis of information in the Service (routes, recognised documents, calculations).

Our total liability to you under the contract is limited to the amount you paid for the Service in the 12 months before the event that caused the damage.

Nothing in these Terms limits liability that cannot be limited by law — including for intent and gross negligence, and for damage to life and health.

14. Changes to the Terms

We may change these Terms. For material changes we notify you by e-mail or in the Service at least 30 days before they take effect. If you disagree you may terminate the contract before that date. Continuing to use the Service afterwards means acceptance.

15. Governing law and disputes

The contract is governed by Bulgarian law. Disputes are resolved by agreement and, failing that, by the competent Bulgarian court at the Provider’s seat.

These Terms are drawn up in Bulgarian; translations are for convenience and, if they differ, the Bulgarian text prevails.

If a provision is invalid, the others remain in force.
